Terms of Service

These Terms of Service ("Terms") govern your access to and use of WeClip (the "Service"), a product of Lexifyr Technologies Private Limited ("Lexifyr", "we", "our", or "us"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who we are

2. Eligibility & Accounts

You must be at least the age of majority in your jurisdiction and capable of entering into a binding contract to use the Service. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3. The Service

WeClip helps you generate short video clips from longer videos using AI-assisted transcription, analysis, and editing. Features may change from time to time. We may suspend or discontinue features at our discretion.

4. Your Content & License to Us

You retain ownership of content you upload ("Content"). By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to host, process, transcode, analyze, and store your Content solely to provide and improve the Service. You represent that you have the necessary rights to upload and process the Content.

5. Prohibited Use

• Infringing, unlawful, harassing, or deceptive activities;
• Uploading or processing Content you do not have rights to;
• Reverse engineering, scraping, or abusive automated access;
• Interfering with or circumventing security or usage limits;
• Using the Service for surveillance or biometric identification without consent.

6. Third-Party Services

The Service integrates with third parties to provide functionality (e.g., cloud compute and storage, transcription, payment processing, email). Use of such services may be subject to their terms and privacy policies. These providers may include, without limitation: Amazon Web Services (S3 and Transcribe), AssemblyAI, Google AI (Gemini), Modal Labs, Inngest, and PayU. We do not control third-party services and are not responsible for their acts or omissions.

7. Payments, Credits & Refunds

Paid features, credits, and subscriptions are billed via third-party processors (e.g., PayU). Prices and taxes will be shown at checkout. You authorize us and our payment processor to charge the applicable amounts. Unless stated otherwise, fees are non-refundable except where required by law. We may offer promotional credits or plans; unused credits may expire as communicated.

8. Storage & Availability

Processed files and assets may be stored in cloud storage (e.g., AWS S3) for retrieval. We do not guarantee perpetual storage; please back up your outputs. The Service may be unavailable during maintenance or outages.

9. Intellectual Property

The Service, including our software, UI, trademarks, and branding, is owned by Lexifyr and its licensors. Except for the limited rights granted to use the Service, no rights are transferred to you.

10. Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for risk, legal, or operational reasons. Upon termination, your right to use the Service ends, but certain sections survive (including payments due, IP, disclaimers, and liability limits).

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or meet your requirements.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXIFYR AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

14. Indemnification

You will defend, indemnify, and hold harmless Lexifyr and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your Content or your use of the Service in violation of these Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Subject to applicable law, the courts located in Guwahati, Assam, will have exclusive jurisdiction. You agree to first notify us to attempt an informal resolution by emailingsupport@weclip.in.

16. Changes to Terms

We may update these Terms from time to time. Changes will be effective when posted to this page with an updated date. Your continued use of the Service constitutes acceptance of the revised Terms.
